PERSONAL DATA PROCESSING AND TRANSFER AUTHORIZATION (U.S. LAW)

The user acknowledges and agrees that his/her personal information may be collected, processed, used, disclosed, and transferred in accordance with applicable United States federal and state laws.The user voluntarily provides personal data, including but not limited to name, contact details, identification information, professional information, and any other data necessary for the performance of this agreement or for the provision of services.The user expressly authorizes the disclosure and transfer of his/her personal data to third parties involved in the performance of the contractual relationship and, in particular, to:

Such data may be stored and processed on servers located in the United States or other jurisdictions, in accordance with applicable U.S. laws and industry-standard security measures.The user understands and agrees that, under United States law, personal data may be transferred, processed, and stored outside the user’s country of residence and that such processing shall be governed by U.S. federal and state laws, including but not limited to the Federal Trade Commission Act, state consumer protection statutes, and applicable privacy regulations.The user represents that all information provided is accurate and that he/she has the legal authority to provide such data. Where required by applicable law, including laws related to minors, the user confirms that appropriate consent has been obtained from a parent or legal guardian.Personal data shall be retained for as long as reasonably necessary to fulfill contractual, legal, or business purposes, unless a longer retention period is required or permitted by law.The user acknowledges that consent to electronic transactions and electronic records is granted in accordance with the Electronic Signatures in Global and National Commerce Act (ESIGN Act) and the Uniform Electronic Transactions Act (UETA), and that acceptance of this agreement constitutes a legally binding authorization.

1. Legal Validity of Online Contracts
ESIGN Act (Electronic Signatures in Global and National Commerce Act)

Federal law that gives full legal validity to electronic contracts and electronic signatures.

Key principles:

  • ●  A contract cannot be denied legal effect solely because it is electronic

  • ●  Electronic signatures have the same legal value as handwritten signatures

  • ●  Users must consent to doing business electronically

  • ●  Records must be retainable and reproducible

    Applies nationwide.

    UETA (Uniform Electronic Transactions Act) State-level law adopted by 49 U.S. states + Washington D.C. Key principles:

  • ●  Electronic records and signatures are legally valid

  • ●  Intent to agree is the key element

  • ●  Supports click-to-accept, online forms, and digital agreements

    Works together with the ESIGN Act.

    2. Online Acceptance & Clickwrap Agreements

    U.S. courts generally uphold:

  • ●  Clickwrap agreements (user clicks “I Agree”)

  • ●  Scrollwrap agreements (must scroll before accepting) Requirements for enforceability:

  • ●  Terms must be clearly accessible

  • ●  Acceptance must be affirmative and unambiguous

  • ●  User must have reasonable notice of the terms

    Browsewrap agreements (terms linked only in footer) are weaker and less enforceable.

3. Consumer Protection & Fair Practices

Federal Trade Commission Act (FTC Act)

Prohibits:

  • ●  Unfair or deceptive acts or practices

  • ●  False or misleading information online

    Requires:

  • ●  Clear disclosures

  • ●  Honest advertising

  • ●  Transparent pricing and policies

    4. Privacy & Data Collection

    5. Contracts Involving Minors

    7. Jurisdiction, Governing Law & Venue

    Online contracts typically include:

8. Record Keeping & Evidence

Online businesses must be able to:

    9. International Users (Non-U.S.)

    If dealing with users outside the U.S.:

    The user obliges himself to the monthly payment of the general membership of $120 that will be withdrawn on the credit card or payment method indicated by him.
